Version 1.0. Effective 30 September 2026. Published by FOSIA LTD, trading as Hodi. Read the whole of these Terms: creating an account or using Hodi means you accept them.

1. About these Terms

1.1 Hodi is an online platform operated by FOSIA LTD, a company registered in Rwanda (registration and tax details are given on request at info@hodistay.com), contact info@hodistay.com ("Hodi", "we", "us"). Hodi is available at hodistay.com and through any channel we add later (together, the "Platform").

1.2 These Terms are a contract between you and FOSIA LTD. They apply to everyone who uses the Platform: a traveller looking for or booking a stay ("Traveller"), a person or business listing places to stay ("Host"), an agency or property manager acting for owners ("Agency"), team members invited by a Host or Agency, and anyone else who visits or uses the Platform ("Visitor"). "You" means whichever of these you are. Some sections apply only to some of you; each says so.

1.3 These Terms include our Privacy Policy at hodistay.com/privacy, the cancellation conditions shown on each listing, the prices and options shown on the pricing page, and any rules shown inside the Platform when you use a feature (together, the "Terms"). If they conflict, the specific rule shown for a feature comes first, then these Terms, then the Privacy Policy on personal data.

1.4 How you accept. You accept these Terms by ticking the box when you create an account, by continuing to use the Platform after we tell you they changed, or by using the Platform. We keep a record of when, which version and how you accepted. If you do not agree, do not create an account and do not use the Platform.

2. Who can use Hodi

2.1 You must be at least 18 and able to enter a binding contract. If you act for a business, you confirm you have authority to bind it, and "you" includes that business.

2.2 Everything you tell us must be true, complete and kept up to date. One person, one account, unless we agree otherwise. You may not create an account for someone else without their permission, or use a false identity.

2.3 You are responsible for your account. Keep your email, codes, browser and any connection address (such as a Hodi MCP address) secret. What happens through your account is treated as done by you, until you tell us it is compromised. Tell us at once at info@hodistay.com.

2.4 We may ask you to prove who you are or that you may list a place, and we may refuse or end an account where the law or our safety rules require it.

3. What Hodi is, and what it is not

3.1 Hodi is a technology platform that helps Travellers find places to stay and helps Hosts present them and receive booking requests. The stay itself is a contract between the Traveller and the Host. Hodi is not a party to that contract. Hodi is not a hotel, a landlord, a travel agent, a tour operator, an insurer, a payment institution or an emergency service.

3.2 The Host is responsible for the place, its description, its price, its legality, the welcome, the safety of the stay and what is done with the Traveller's data once the Host has it. Hodi does not own, manage, inspect or control places, and does not guarantee that a place, a Host or a Traveller will be reliable, safe or lawful.

3.3 Human checks. A person at Hodi reviews new listings before they go live and confirms bookings. "Verified", "Verified by Hodi" and similar words mean only that we reviewed the information and photos supplied and, where we say so, licence details, against the criteria published on the Platform on the date of review. It is not an inspection, a certification or a guarantee, and it does not replace your own judgment or your own checks.

3.4 Money. In this version of Hodi we do not hold Travellers' funds. The Traveller pays the Host directly using the payment details shown for the booking, and the Host confirms receipt. Pay only to the details shown in your Hodi booking. Hodi never asks a Traveller to pay a different number or account through a message outside the Platform. If someone does, do not pay and tell us. If we change this, we will tell you first and these Terms will be updated.

3.5 The Platform may hold dates while a request is pending. A request is not a confirmed booking until the Host agrees and the payment is confirmed as the Platform shows.

4. Artificial intelligence

4.1 Hodi uses AI to understand requests, compare places, draft listings, prepare replies and answer questions. You are dealing with software that generates text, not a person, unless the Platform says a person is involved.

4.2 AI can be wrong, incomplete or out of date. Outputs are information, not professional, legal, medical, financial, tax, safety or travel advice. Check what matters before you rely on it: dates, prices, availability, rules and the identity of who you pay.

4.3 We put people in charge of the steps that matter: a person reviews listings and confirms bookings, and the Host's assistant prepares actions that the Host approves. Where a Host has switched on an automatic setting (for example automatic answers to price offers within limits the Host set), the Host authorises those answers and is responsible for them as if the Host had given them.

4.4 Ranking. We show places by how well they fit the request. A paid plan or sponsored placement may decide between equal matches but does not put a worse match ahead of a better one. We do not disclose how the ranking works.

4.5 Your content and conversations may be processed by AI service providers acting for us to produce the answer. We select providers under terms that do not allow them to train their models on our users' content, and we do not sell your content. Details are in the Privacy Policy. A Host's own AI assistant connected through Hodi MCP is the Host's choice and responsibility; what that assistant does with data it receives is governed by the Host's arrangement with its provider.

4.6 Do not use the AI features to obtain, and do not enter into them, information you are not allowed to have or share: other people's contact details, payment data, passwords, identity documents or anything you have no right to submit.

5. Travellers

5.1 Give accurate dates, group size and contact details. Tell the Host about anything that could affect the stay (children, pets, accessibility needs, arrival time). Follow the house rules and the law, and respect the place and its neighbours.

5.2 Prices, fees and taxes are shown as the Host set them, in the currency stated, with a US dollar or local currency display at the daily rate we use. The Host may apply taxes or fees the law requires. Hodi does not add a fee to the Traveller.

5.3 Cancellation and refunds are governed by the cancellation condition the Host chose and the Platform shows on the listing before you send your request. Refunds are paid by the Host. Hodi is not responsible for a refund the Host owes but does not pay, and will help you contact the Host and record the problem.

5.4 Nothing in these Terms removes a right you have as a consumer under mandatory law where you live or where the stay takes place, including any right of withdrawal or cancellation that applies by law to your booking. Where the law provides that such a right does not apply to dated accommodation, it does not.

5.5 Contact details. A Host sees your name and, once the stay is confirmed, your email and phone. Until then, contact details are hidden on both sides. Do not try to move a booking outside the Platform before it is confirmed.

5.6 Reviews. After a completed stay you may be invited to review it. Reviews must be honest, based on your own stay, and free of unlawful, hateful or private content. We may refuse or remove a review that breaks these Terms. A Host may reply publicly. We do not allow paid or traded reviews.

5.7 Problems during a stay. Tell the Host first and use the report option on the Platform where offered. In an emergency call the local emergency number, not Hodi.

6. Hosts and Agencies

6.1 You promise that: you own the place or are authorised by the owner to list and let it; you hold every licence, registration, permit and insurance the law requires for letting it, and you will show licence details when we ask; you will pay every tax that applies to you, including tourism and value added taxes where they apply; the listing, photos, price, calendar and rules are true, current and not misleading; and the place meets the Hodi Standard criteria shown on the Platform and applicable safety law.

6.2 Do not discriminate, do not film or record guests in private areas, do not keep or use guest data beyond what the stay and the law allow, and treat guests fairly. Do not list a place you cannot honour. Keep your calendar accurate: a double booking or a cancellation you cause is your responsibility.

6.3 Agencies. If you list for owners, you promise you have written authority from each owner, that the owner accepts these Terms as they apply to their place, and that the owner statements and portal are used only for the owner's own place. You are responsible for your team's actions and for the roles you give them.

6.4 Fees. Commission, plans, options and credits are shown in your account and on the pricing page. Commission is due on every stay that comes from an introduction by Hodi, including a stay paid outside the Platform, for the same guest for 12 months after the first introduction. You must declare stays honestly and keep records for 24 months. We may ask you for proof (a booking record, a payment record, a guest confirmation) and may check our own records. Concealing or under-reporting a stay is a serious breach.

6.5 Billing. We invoice fees in the currency stated, monthly or as the Platform shows. We may add taxes required by law. If an amount is overdue, we may remind you, restrict paid features, and after notice pause your listings until you pay. Fees already paid are not refunded, except where the law requires or we say so. We may change prices for future periods with at least 30 days' notice; you may leave before the change applies.

6.6 Circumvention. Do not use the Platform to find guests and then take the booking off the Platform to avoid fees, and do not ask or help a Traveller to do so. We may hide contact details until confirmation, filter messages that share them, and take the steps in section 14 if you do.

6.7 Your content. You keep your rights in your photos, text and videos. You give Hodi a worldwide, non-exclusive, royalty-free licence, sublicensable to our service providers and distribution partners, to host, store, display, adapt (crop, resize, enhance, translate, summarise) and promote your content on and for the Platform, for as long as your listing is on the Platform and for a reasonable period afterwards to complete bookings and keep records. You promise you have the right to give this licence.

6.8 Guest book. The guest book is for your own hospitality: to remember guests and invite back those who agreed. You may not use it to contact guests outside Hodi for bookings, to sell or share guests' data, or to message guests who did not agree. Exports are your responsibility, and you are an independent controller of the guest data you hold.

6.9 Assistants and connections. Your assistant only prepares actions unless you switch on an automatic setting. You remain responsible for what you approve or automate. Hodi may limit the use of AI features to protect the service and will tell you when a limit is reached. A Hodi MCP address is a secret key: anyone holding it can act as you within its permissions. Cut it in your account if you think it was shared.

7. Rules for everyone

7.1 Do not: break the law; harass, threaten or discriminate; post false, misleading, infringing or private content; impersonate anyone; pay, offer or accept a bribe; use the Platform for fraud, money laundering, trafficking or any exploitation; or evade a suspension.

7.2 Do not misuse or attack the Platform. In particular, do not: scrape, crawl or systematically copy listings, prices, rankings, reviews, prompts or other content, except as our robots.txt file and published guide allow search and answer engines to read public pages; use the Platform or its content to build, train or improve a competing service or an AI model, or a dataset for either, without our written permission; reverse engineer, decompile or probe the software; try to extract our instructions, prompts, models, ranking rules or internal data; attempt prompt injection, jailbreaking or other manipulation of the AI features, or feed them hidden instructions; overload the service; bypass rate limits, access controls or security; access data that is not yours; or use automated means beyond the interfaces we publish for your account (such as Hodi MCP on your own data).

7.3 Security research. If you find a weakness, do not exploit it, do not access or keep other people's data, and report it at once to info@hodistay.com. We will not take action against good-faith reports that respect this rule.

7.4 Our confidential information. Keep confidential what we tell you that is not public: unreleased features, private pricing or terms, staff communications, credentials, keys and connection addresses, and internal documents. Do not publish or share it. Keep confidential any personal data of others that you receive through Hodi, and use it only for the stay concerned.

7.5 Reports. If you see illegal or harmful content or behaviour, or a listing or review that breaks these Terms, report it at info@hodistay.com or through the report option. Say what, where and why. We review reports fairly and quickly, and may remove content, limit a feature or end an account.

7.6 Our decisions. When we restrict your content or account for breaking these Terms or the law, we will tell you what we did and why, unless the law or safety prevents it. You may reply and ask us to review the decision by writing to info@hodistay.com.

8. Intellectual property

8.1 The Platform, its software, design, text, data compilations, ranking, prompts, models we build, brand, name, logo and Hodi Standard belong to FOSIA LTD or its licensors. You receive a personal, revocable, non-exclusive, non-transferable right to use the Platform under these Terms. Nothing here transfers ownership to you.

8.2 Do not use the Hodi name, logo or badges without written permission, except to say truthfully that you are a Hodi Host in a way we publish.

8.3 If you give us feedback or ideas, we may use them freely without paying you.

8.4 If you believe content on the Platform infringes your rights, send us the details at info@hodistay.com with proof of ownership. We will review it and may remove the content.

9. Personal data and confidentiality

9.1 We handle personal data as described in our Privacy Policy. For account, booking and safety purposes we are the controller. When a Host receives a Traveller's details, the Host becomes an independent controller of them and must protect them and use them only for the stay and as the law allows. Each of us complies with the data protection law that applies to us.

9.2 We share personal data only as needed to run the Platform: with the Host or Traveller for a booking, with service providers who work for us under contract (hosting, email, payments, maps, analytics, AI), with authorities when the law requires, and in a sale or reorganisation of our business with the same protection. We do not sell personal data.

9.3 We use technical and organisational measures to protect data and limit each person's access to what their role needs. No system is perfectly secure. If a breach affects you and the law requires notice, we will notify you and the authority as required.

9.4 Some of our providers are outside Rwanda. We transfer data only as the law allows, with the safeguards or authorisations it requires.

9.5 You may ask to see, correct, export or delete your data, or object to some uses, using your account or info@hodistay.com. Some records must be kept by law or for disputes; we will tell you which.

9.6 Staff access. Our team can see conversations and bookings when needed to provide support, check safety and fraud, resolve disputes, keep quality and follow the law. Access is limited by role and logged.

10. Third-party services

The Platform relies on third parties: mobile money and payment providers, email, hosting, maps, analytics, AI and messaging providers, and links to other sites. Their terms apply to your use of them. We are not responsible for third-party services, but we choose providers with care and require them to protect your data.

11. Availability and changes to the Platform

11.1 We aim to keep the Platform running but do not promise it will be uninterrupted or error-free. We may change, add or remove features, and we may suspend the Platform for maintenance, security or reasons beyond our control.

11.2 Some features are in test or are limited to some countries, plans or users. They may change or be withdrawn, and are offered as they are.

12. Disclaimers

12.1 To the fullest extent the law allows, the Platform, its content and the AI outputs are provided "as is" and "as available". We do not promise that listings are accurate, that a place fits your needs, that a Host or Traveller will act well, or that AI outputs are correct.

12.2 Travel has risks. You use places and go on stays at your own risk, subject to any duty the law places on the Host.

12.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct or gross negligence, or anything that cannot be excluded or limited by law.

13. Liability

13.1 Subject to 12.3, we are not liable for: the acts or omissions of Hosts, Travellers or third parties; the condition, safety, legality or description of a place; a refund a Host owes; indirect, special or consequential loss; loss of profit, revenue, bookings, goodwill or data; or loss caused by AI outputs you relied on without checking.

13.2 Subject to 12.3, our total liability to you for all claims about the Platform in any 12-month period is limited to the greater of (a) the fees you paid to Hodi in the 12 months before the event and (b) USD 100.

13.3 These limits protect FOSIA LTD and its affiliates, directors, officers, shareholders, employees, contractors and agents ("Hodi Parties"), who may rely on them. You will bring any claim only against FOSIA LTD, not against any individual Hodi Party, to the extent the law allows.

13.4 Consumers. Where you are a consumer and the law in your country gives you rights that these limits would remove, those rights apply and the limits apply only as far as the law allows.

14. Suspension and ending

14.1 You may stop using Hodi and delete your account at any time in your account or by writing to us. Confirmed bookings still have to be honoured.

14.2 We may suspend or end your access, remove content, cancel pending requests or pause listings if: you break these Terms or the law; we reasonably suspect fraud, abuse, a security risk or a risk to others; you owe overdue fees after notice; the law or an authority requires it; or we stop offering the Platform in your country. Where we can, we give notice and a chance to respond first. Where there is urgency or risk we may act first and explain after.

14.3 What happens next. Your right to use the Platform ends. Confirmed stays continue as between Traveller and Host. Sections meant to survive do: 4.6, 6.4 and 6.5 for amounts due, 7, 8, 9 (for data we keep), 12, 13, 15, 17 and 18.

15. Your responsibility to us

You will compensate FOSIA LTD and the Hodi Parties for loss, damages, fines and reasonable costs (including legal fees) arising from a claim by a third party caused by your breach of these Terms, your content, your place, your stay, your taxes, or your unlawful use of the Platform. We will tell you promptly of the claim and let you help defend it. Consumers are covered by 13.4 and this section applies to them only as far as the law permits.

16. Changes to these Terms

We may update these Terms. For a material change we will give at least 30 days' notice by email or in the Platform before it applies, and we will ask you to accept the new version when you next sign in. If you disagree, stop using the Platform and close your account before the change applies. Changes required by law may apply sooner. Each version is dated, and earlier versions are available on request.

17. Law, disputes and international use

17.1 Governing law. These Terms and any dispute about them or the Platform are governed by the laws of the Republic of Rwanda, without its conflict-of-law rules.

17.2 Talk first. If you have a problem, write to info@hodistay.com. We will try to settle it within 30 days.

17.3 Hosts and Agencies. If it is not settled, the dispute is finally resolved by arbitration under the rules of the Kigali International Arbitration Centre, seated in Kigali, in English, by one arbitrator. Either party may ask a court of Rwanda for urgent interim relief.

17.4 Travellers and Visitors. Any dispute not settled under 17.2 may be brought before the competent courts of Rwanda. This does not remove any right you have to bring a claim in the courts of the country where you live, or to use a consumer complaint scheme, where the law gives you that right and it cannot be waived.

17.5 International use. The Platform is offered for the countries we open. If you use it from another country, you are responsible for following its laws. You confirm that you are not on a sanctions or export restriction list and that you will not use the Platform for anything those rules prohibit. Local terms for a country may be added in an annex published on the Platform; they apply to users in or booking in that country.

17.6 Language. These Terms are published in English and French. If they differ, the English version prevails, except where the law requires otherwise.

18. General

18.1 These Terms are the whole agreement about the Platform. If a part is unenforceable, the rest stays. Not enforcing a right is not giving it up. We may transfer these Terms in a sale or reorganisation of our business; you may not transfer yours without our written consent.

18.2 Nothing here makes you our partner, agent, employee or franchisee. No one else has rights under these Terms except the Hodi Parties.

18.3 Neither of us is liable for delay or failure caused by events beyond reasonable control, including power, network, mobile money or AI provider outages, natural events and government action. Payment duties are not excused.

18.4 Notices. We may notify you by email, in the Platform or by publishing on the Platform. You may notify us at info@hodistay.com. Electronic records, including logs of acceptance and of activity on the Platform, are valid evidence of what happened, unless shown to be wrong.
